What is Corporate Governance and why is it important?

One of the general definitions of Corporate governance is that it refers to structures and processes for the direction and control of companies, looking strategically at the relationships between managers, directors, owners/shareholders and other stakeholders.

Even though certain pillars on which corporate governance rests are contained in laws and regulations, corporate governance is about far more than simply compliance and alignment with generic standards.

Corporate governance brings genuine benefits to companies and financial institutions while outlining a clear framework for defining and achieving corporate objectives. Good corporate governance practices are integrated into business objectives, allowing companies and financial institutions to progress and achieve their goals.

Providing consulting services in the area of corporate governance

At the end of 2013 the company WM Equity Partners entered a partnership agreement with the International Finance Corporation (IFC) on a consulting project for improving corporate governance for the Serbian companies.

The main aim of this project is to enable local companies to access the best international practices in corporate governance, which has for many years applied worldwide. Improving the process of corporate governance, companies improve their business performance, establish clear roles and responsibilities and improve the decision making process.

IFC in Gombit doo and Metalopromer doo

Representatives of IFC from Washington visited Gombit doo Belgrade and Metalopromet doo Kula with which WM Equity Partners works on improvement of corporate governance. A number of improvements have been noted, primarily in the area of commitment to corporate governance and in the field of controlling environment with the conclusion that these companies are now much more interesting to potential financial partners.

On the 24th of January 2017, in the City of Zaječar, WMEP in cooperation with the Serbian Chamber of Commerce organized seminar on financing development of small and medium enterprises in Serbia

By the end of January 2017, in the City of Zaječar, WMEP in cooperation with the Serbian Chamber of Commerce organized seminar on financing development of small and medium enterprises in Serbia. 26 representatives of small and medium size enterprises from the Zaječar region attended the seminar mainly discussing the importance of good corporate governance in SME development so as the scope of possible finance sources of SME development in Serbia including bank credits and/or new equity partners.

Methodology

Working with companies, WM Equity Partners and the International Finance Corporation (IFC) apply the IFC Corporate Governance Methodology and its accompanying tools tailored to the needs of individual companies.

All projects do not require the same level of application of the methodology or the same number of engaged professionals. Depending on the needs of individual companies, a detailed report on Corporate Governance “Corporate Governance Assessment Report” (CGA) can be made or a shorter and simpler one “Corporate Governance Review Report” (CGR).
